By accessing our website or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use our website or Services.

2. Services Overview

BCI provides the following services to corporate and institutional clients:

• Background Checks: Employment, education, criminal record, and reference verifications.
• Know Your Customer (KYC) / Know Your Staff (KYS) / Know Your Vendor (KYV): Identity and compliance verification solutions.
• Due Diligence: Corporate investigations, anti-money laundering checks, and regulatory compliance assessments.
• Identity Verification: Document authentication and biometric identity confirmation.

All Services are rendered pursuant to a separate service agreement or engagement letter between BCI and the client organisation.

3. Eligibility

Our Services are available only to registered businesses, government agencies, non-governmental organisations, and other institutional entities. By engaging our Services, you represent that you have the authority to bind your organisation to these Terms and any associated service agreements.

4. Client Obligations

As a client of BCI, you agree to:

• Provide accurate and complete information necessary for the performance of our Services.
• Obtain all required consents from individuals whose data will be processed as part of a background check or verification.
• Use verification reports solely for lawful purposes consistent with applicable employment, tenancy, or compliance regulations.
• Not redistribute, resell, or share BCI reports with unauthorised third parties.
• Comply with the Nigeria Data Protection Act (NDPA), NDPR, and all other applicable data protection laws when handling personal data obtained through our Services.

5. Accuracy and Limitations

BCI conducts verifications with diligence and professionalism, using reliable sources and established methodologies. However:

• Verification results are based on information available from third-party sources at the time of the check. BCI does not guarantee the absolute completeness or accuracy of third-party records.
• Reports are provided for informational purposes to assist in decision-making. BCI does not make hiring, tenancy, or partnership recommendations.
• Results may be affected by factors beyond our control, including the responsiveness of institutions, incomplete public records, or jurisdictional limitations.

6. Fees and Payment

• Service fees are outlined in the applicable service agreement or quotation provided to the client.
• Payment terms are as agreed in the service contract. Late payments may attract interest at the rate specified in the agreement.
• BCI reserves the right to suspend Services for accounts with outstanding balances.

7. Confidentiality

BCI treats all client information and verification data as strictly confidential. We will not disclose such information to any third party except as required to perform the Services, as authorised by the client, or as required by law.

8. Intellectual Property

All content on the BCI website — including text, graphics, logos, images, and software — is the property of Background Check International Limited and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content without our prior written consent.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• BCI's total liability arising from or related to these Terms or the Services shall not exceed the fees paid by the client for the specific service giving rise to the claim.
• BCI shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• BCI shall not be liable for decisions made by the client based on verification reports.

10. Indemnification

You agree to indemnify and hold BCI, its directors, officers, employees, and agents harmless from any claims, liabilities, damages, losses, or expenses arising from your use of our Services in violation of these Terms, applicable law, or the rights of any third party.

11. Termination

Either party may terminate a service engagement in accordance with the terms of the applicable service agreement. BCI reserves the right to suspend or terminate access to its website or Services for any user or client that violates these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or our Services shall first be resolved through good-faith negotiations. If unresolved, disputes shall be submitted to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act 2023.

BCI may update these Terms from time to time. Material changes will be posted on this page with a revised effective date. Continued use of our website or Services after changes are posted constitutes acceptance of the updated Terms.
